HashPass Wallet-Terms of Service
THESE ARE THE MOST CURRENT HASHPASS WALLET TERMS OF SERVICE (“TERMS”) AND SUPERSEDE ANY TERMS THAT MAY APPEAR ON YOUR COMPUTER DEVICE (“DEVICE”) OR ELSEWHERE. PLEASE READ THESE TERMS CAREFULLY. BY USING HASHPASS WALLET, YOU ARE AGREEING TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, REMOVE YOUR KEYS FROM HASHPASS WALLET.
HASHPASS WALLET and support of your HASHPASS WALLET (collectively “Product”) are provided by HashKey Token Limited (“HashPass”, “we”, “us”, or “ours”).
These TERMS including their appendix (the “Terms,” “Terms of Use” or “Agreement”) contain the terms and conditions that govern your access to and use of the Website and Product provided by us and is an agreement between us and you or the entity you represent (“you”, “Users” or “your”). Please read these Terms of Use carefully before using the Product. By clicking a button or checkbox to accept or agree to these Terms where that option is made available, clicking a button to use or access any of the Product, or, if earlier, using or otherwise accessing the Product (the date on which any of the events listed above occur being the “Effective Date”), you (1) accept and agree to these Terms and any additional terms that apply to certain Additional Product, rules and conditions of participation issued by HashPass from time to time and (2) consent to the collection, use, disclosure and other handling of information as described in our Privacy Notice. If you do not agree to the Terms or perform any and all obligations you accept under the Terms, then you may not access or use the Product.
1. Overview
1.1 HashPass Wallet is a browser-based plugin designed to facilitate secure management of digital assets and interaction with blockchain networks. The Wallet provides users with essential tools, including decentralized account management, on-chain transaction broadcasting and synchronization, transaction signing, and authorization for decentralized applications (“dApps”). As a non-custodial wallet, HashPass Wallet does not store or control user funds or private keys; instead, it enables users to manage their blockchain accounts and funds fully independently.
1.2 HashPass Wallet and certain features of HashPass Wallet may only be available in select regions, with select keys/address, networks, and other third parties.
2. Eligibility
2.1 To set up and use HashPass Wallet, you must have
(i) Supported Devices and Browsers: Wallet is a browser-based plugin and requires a compatible device with internet access. Supported browsers include Google Chrome;
(ii) Blockchain Knowledge: Users are expected to have basic knowledge of blockchain technology, including wallet addresses, private keys, transaction fees, and network interactions;
(iii) Account Setup: Users must create a new wallet or import an existing one by securely managing their private keys and seed phrases. The Wallet does not store sensitive information, and lost keys cannot be recovered;
(iv) Legal Compliance: Users must meet the legal requirements of their jurisdiction, including the minimum legal age and adherence to local cryptocurrency regulations;
(v) Security Awareness: Users are responsible for verifying transaction details, safeguarding their private keys, and avoiding phishing attempts.
2.2 Subject to certain exceptions, the Products provided by HashPass Wallet are intended solely for individuals who are 18 years of age or older. By accessing or using the Wallet, you represent and warrant that you are at least 18 years old.
2.3 If you are under 18 years of age, you may only use the Wallet with the express consent and supervision of your legal guardian. HashPass reserves the right to terminate or restrict access to the Wallet for users who do not meet these age requirements.
3. Use of the Products
3.1 HashPass Wallet is provided exclusively for personal use. Each user is solely responsible for their Wallet account and associated private keys, seed phrases, and other security credentials. The following conditions apply:
(i) Personal Use Only: The Wallet must not be shared, sublicensed, or used on behalf of any third party, including but not limited to organizations, businesses, or other entities. Users must not allow others to access or use their Wallet credentials. Any actions taken using your Wallet will be considered authorized by you;
(ii) Protection of Private Keys and Seed Phrases: Users are responsible for safeguarding their private keys, seed phrases, passwords, and other security information associated with the Wallet. HashPass does not store or manage your private keys or seed phrases. Once lost or compromised, these credentials cannot be recovered, and access to your digital assets will be permanently lost;
(iii) Unauthorized Access and Loss of Security Credentials: Users are required to take reasonable precautions to prevent unauthorized access to their Wallet. This includes avoiding phishing websites, using strong passwords, and regularly updating their security practices. HashPass is not liable for any losses resulting from unauthorized access, misuse of credentials, or user negligence.
3.2 By using the Wallet, you acknowledge and agree that the security of your digital assets relies entirely on your ability to manage and protect your private keys and seed phrases. You further acknowledge that blockchain transactions are irreversible and that HashPass cannot reverse or recover transactions made using your Wallet. You further agree to use HashPass Wallet in accordance with applicable laws and regulations. You acknowledge that any false information submitted may be a criminal offense under applicable law.
3.3 You agree not to use HashPass Wallet for illegal or fraudulent purposes, or any other purposes that are prohibited by these TERMS. You agree not to interfere with or disrupt HashPass Wallet (including accessing the Products through any automated means), or any servers or networks connected to the Products, or any policies, requirements, or regulations of networks connected to the Products (including any unauthorized access to, use, or monitoring of data or traffic thereon).
3.4 If your access to or use of HashPass Wallet is prohibited by applicable law, you are not authorized to access or use these Products. We are not responsible if you access or use the Products in any manner that violates applicable law.
4. Transaction Disclaimer
4.1 HashPass Wallet functions as a non-custodial tool to facilitate user interactions with blockchain networks. Wallet does not process, verify, or guarantee any transactions. By using the Wallet, you agree to the following:
(i) No Transaction Processing: Wallet does not process transactions on behalf of users. Instead, it serves as a tool to generate and sign transactions, which are then broadcast to the blockchain network through a third-party RPC service or user-configured node;
(ii) Responsibility for Transactions: All blockchain transactions are irreversible once submitted and are entirely managed and validated by the blockchain network. The Wallet has no control over transaction confirmations, delays, fees, or failures. Users are solely responsible for reviewing and confirming the details of each transaction before signing and submitting it. This includes verifying the recipient’s address, transaction amount, and associated fees;
(iii) No Liability for Transaction Issues: Wallet is not responsible for any issues arising from transactions, including but not limited to: (a) Failed, delayed, or unconfirmed transactions. (b) Disputes between users and third parties, such as merchants, decentralized applications (dApps), or other blockchain participants. (c) Losses caused by errors in transaction details provided by the user;
(iv) Resolution of Transaction Disputes: (a) Any disputes or issues related to transactions must be resolved directly between the user and the transaction counterparty or service provider (e.g., blockchain validators, merchants, or dApps).(b)The Wallet does not act as an intermediary, arbitrator, or mediator in any transaction disputes.
4.2 By using the Wallet, you acknowledge and agree that all blockchain transactions are executed at your own risk. The Wallet merely provides a platform for transaction initiation and signing, and HashPass is not liable for any outcomes resulting from your transactions.
5. Blockchain Network and Third-Party Services Disclaimer
5.1 The Wallet relies on blockchain networks and third-party services (e.g., RPC providers, blockchain nodes, oracles) to function. HashPass does not own or control these networks or services, and therefore:
• The Wallet is not responsible for any failures, delays, or errors caused by the underlying blockchain network, such as network congestion, forks, or technical issues.
• Any downtime, miscommunication, or service interruptions caused by third-party service providers are beyond HashPass’s control.
• Users are solely responsible for ensuring the accuracy and security of any third-party configurations, such as custom RPC endpoints or smart contract interactions.
6. No Investment or Financial Advice
6.1 The Wallet is a tool for managing digital assets and interacting with blockchain networks. It does not provide any financial, investment, or legal advice.
• Users are solely responsible for evaluating the risks associated with blockchain transactions, including price volatility, market risks, and potential losses.
• HashPass does not endorse or guarantee the value, stability, or security of any cryptocurrency or token.
• Users should seek professional advice where necessary before making any financial decisions related to the use of the Wallet.
7. No Guarantee of Compatibility or Continuity
7.1 The Wallet is provided “as is” without any guarantee of uninterrupted functionality or compatibility.
• HashPass does not warrant that the Wallet will always be compatible with all browsers, blockchain networks, or dApps.
• Changes to blockchain protocols, browser environments, or other third-party dependencies may affect the Wallet’s functionality, and HashPass is not liable for any resulting disruptions.
8. Irreversible Transactions and Loss of Assets
8.1 Blockchain transactions are irreversible, and once a transaction is submitted, it cannot be modified or canceled. Users acknowledge and accept the inherent risks of blockchain technology, including but not limited to:
• Loss of private keys or seed phrases, which will result in the permanent loss of access to digital assets.
• Sending transactions to incorrect or invalid wallet addresses, which may result in the permanent loss of assets.
• Blockchain errors or smart contract vulnerabilities leading to unexpected outcomes.
• The Wallet cannot recover lost or misdirected assets under any circumstances.
9. No Warranty for Security
9.1 While the Wallet implements industry-standard security measures, HashPass does not guarantee absolute security. Users are responsible for securing their devices and systems. The Wallet is not liable for damages resulting from:
• Malware, viruses, or phishing attacks that compromise the user’s device or credentials.
• Unauthorized access due to user negligence or weak security practices.
• Users are advised to maintain up-to-date antivirus software, use strong passwords, and verify the authenticity of dApps and websites they interact with.
10. No Custody of Funds
10.1 As a non-custodial wallet, the Wallet does not custody, control, or access user funds.
• Users are solely responsible for their digital assets and any associated keys or credentials.
• HashPass cannot assist in the recovery of funds or access to wallets in case of forgotten or compromised credentials.
11. Jurisdiction, Binding Arbitration and Class Action Waiver
11.1 Cryptocurrency regulations vary across jurisdictions, and users are solely responsible for ensuring their compliance with applicable laws.
• The Wallet may not be legally available or supported in certain regions. It is the user’s responsibility to determine whether accessing and using the Wallet complies with their local laws.
• HashPass is not responsible for any penalties, restrictions, or liabilities imposed by government authorities due to the user’s activities.
11.2 This Terms shall be governed by, and construed in accordance with, the laws of the Hong Kong Special Administrative Region (“Hong Kong”), without regard to its conflict of law principles. Any disputes, controversies, or claims arising out of or in connection with this Agreement, including any questions regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Hong Kong under the following terms:
• Arbitration Institution: The arbitration shall be administered by the Hong Kong International Arbitration Centre (“HKIAC”).
• Rules: The arbitration shall be conducted in accordance with the HKIAC Administered Arbitration Rules in force at the time of commencement of the arbitration.
• Number of Arbitrators: The arbitration tribunal shall consist of one arbitrator.
• Language: The arbitration shall be conducted in English.
• Seat of Arbitration: The seat of arbitration shall be Hong Kong.
11.3 By entering into this Agreement, you agree that arbitration shall be the sole and exclusive method of resolving any disputes. You waive any right to pursue claims in any other jurisdiction or forum, except as may be required to enforce the arbitral award. The arbitral award shall be final and binding upon the parties, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction over the parties or their assets.
11.4 To the fullest extent permitted by law, disputes shall be resolved on an individual basis only, and neither party shall have the right to bring or participate in any class, collective, or representative action against the other.
12. Limitation of Liability
12.1 To the fullest extent permitted by applicable law:
• We shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of the Wallet.
• This includes but is not limited to damages resulting from:
• Loss of assets.
• Network errors or downtime.
• Third-party actions or software vulnerabilities.
You will defend, indemnify, and hold harmless us, our affiliates and licensors, and each of their respective employees, officers, directors, and representatives from and against any Losses arising out of or relating to any claim concerning: (a) breach of this Agreement or violation of applicable law by you; or (b) a dispute between you and any of your customers or users. You will reimburse us for reasonable attorneys’ fees and expenses, associated with claims described in (a) and (b) above.
13. Intellectual Property
All intellectual property rights, including but not limited to copyrights, trademarks, patents, and trade secrets, related to Wallet and its services are owned by HashPass or its licensors. Users acknowledge that no ownership rights are transferred to them through the use of the Wallet.
Users are prohibited from:
• Copying, modifying, or reverse-engineering the Wallet’s code or functionality.
• Using Wallet’s trademarks, logos, or brand elements without prior written consent.
• Creating derivative works based on the Wallet without proper authorization.
Certain components of the Wallet may be open-source software, and their use is governed by the respective open-source licenses. Users must comply with all applicable open-source license terms.
If you believe that your intellectual property rights have been violated by Wallet, please contact us with a detailed description of the alleged infringement.
